Terms governing authorised use of WIMS social-media and AI integrations

These Terms apply solely to the restricted WIMS technology integrations used by SIA “WIMS” and its authorised personnel (the “Integration Services” or the “Platform”). The Integration Services support internal content creation, review, publication, analytics and related business workflows. They are not a public consumer service, online shop or social network and do not offer public registration. These Terms do not apply to visitors, customers, purchases or other activities of the wims.lv Shopify store.

1. Provider and scope

The Platform is provided by SIA “WIMS”, registration No. 40103980623, VAT No. LV40103980623, legal address Baznīcas iela 45–21, Riga, LV-1010, Latvia (“WIMS”, “we”, “us”).

These Terms govern access to and use of the Integration Services by WIMS employees, officers, contractors and other persons expressly authorised by WIMS (“Authorised Users”). Any employment, services, confidentiality or other agreement applicable to an Authorised User remains in force. If such an agreement conflicts with these Terms, the agreement prevails to the extent of the conflict.

2. Purpose of the Platform

The Integration Services support WIMS business operations, including the creation, adaptation, review, approval, scheduling, publication and analysis of marketing content. They may include artificial-intelligence-assisted text, image and video functions, workflow automation, content calendars, analytics and integrations with third-party services such as TikTok, Pinterest, Meta services and Google Gemini.

3. Access and accounts

Access is granted by WIMS and may be role-based. An Authorised User must use only the account assigned to that person, keep authentication credentials confidential, use any required multi-factor authentication and immediately notify WIMS of suspected compromise, unauthorised access or loss of a device used to access the Platform.

An Authorised User may connect or operate a social-media account only if WIMS owns that account or the user has documented authority to act on behalf of its owner. Access rights may not be transferred, shared, sold or made available to an unauthorised person.

4. Content review, approval and publication

Content must be reviewed by an Authorised User before publication. Approval given through the Platform constitutes the user’s instruction to the Platform backend to transmit the approved content, metadata and selected publication settings to the relevant connected social-media service.

Where the applicable social-media API permits direct publication, the approved content may be published automatically after approval inside the Platform without a second approval step in the social-media application. The Authorised User must verify the destination account, caption, privacy setting, timing, commercial-content disclosure and any other available publication option before approval.

WIMS may configure additional approvals, publication limits or manual controls. The Platform must not be used to bypass restrictions or review requirements imposed by a connected service.

5. Social-media integrations

The Integration Services may connect to WIMS-managed accounts on TikTok, Pinterest, Meta services and other approved social-media platforms. The relevant account holder authorises each connection through the provider’s approved authorisation method and grants only the permissions displayed during authorisation.

The TikTok integration may use TikTok Login Kit and the Content Posting API for basic account information, creator settings, direct publication, draft upload and publication-status queries. The Pinterest integration may use OAuth permissions to read WIMS boards and Pins and create Pins on an approved target board. Meta integrations may use the relevant Meta APIs and permissions to manage approved WIMS Facebook and Instagram content and related insights.

Each connected platform remains a separate service governed by its own terms, privacy policy, technical rules, review requirements and availability limits. A connection may be disconnected and its tokens revoked when access is no longer required. Certain functionality or public visibility may remain restricted until the relevant provider has reviewed or approved the integration.

6. AI-assisted functions and human responsibility

AI-generated or AI-assisted output is a draft and may be inaccurate, incomplete, unsuitable, biased or subject to third-party rights. An Authorised User must review the substance, factual accuracy, tone, legal compliance, intellectual-property status and required disclosures before approving content.

The Platform does not replace professional legal, regulatory or other specialist review. WIMS may require content to be labelled as AI-generated, synthetic, branded or promotional where required by law, a platform policy or internal WIMS rules.

7. Content and intellectual property

WIMS retains all rights in the Platform, its software, workflows, interfaces, documentation and WIMS-created materials. No ownership right is transferred to an Authorised User under these Terms.

An Authorised User must upload or use only content for which WIMS has the necessary rights, licences, consents and permissions. The user must not knowingly upload confidential third-party material, personal data without a lawful basis, infringing material or content that violates applicable advertising, consumer-protection, intellectual-property or social-media rules.

Any technical licence granted to a service provider or connected platform is limited to what is necessary to host, process, transmit or publish the content in accordance with WIMS instructions and the applicable third-party service terms.

8. Public interactions and messages

The Platform may collect or analyse public comments, reactions, engagement statistics and other publicly available interaction data where supported by a connected service. Unless separately enabled and approved by WIMS, the Platform is not intended to access or respond to private social-media messages.

Any proposed response generated by AI must be reviewed by an Authorised User before publication. Personal data obtained from public interactions may be used only for legitimate WIMS business purposes and in accordance with the Privacy Policy.

9. Prohibited use

The Platform must not be used to publish unlawful, deceptive, discriminatory, defamatory, infringing or malicious content; distribute malware or unsolicited bulk communications; manipulate engagement; impersonate another person; circumvent technical or platform restrictions; access data beyond the user’s authorisation; attempt to reverse engineer or disrupt the Platform; or use Platform data or credentials for an unrelated purpose.

10. Confidentiality and security

Information available through the Platform may be confidential. Authorised Users must comply with WIMS confidentiality, security, records-management and incident-reporting requirements. Access tokens, refresh tokens, client secrets and similar credentials must be stored and exchanged only through approved secure methods and must never be placed in public repositories, front-end code, ordinary email or unsecured chat.

11. Third-party services

The Platform depends on third-party APIs, cloud services, AI services and social-media platforms. Their operation, limits, review requirements and terms may change. WIMS does not control those services and may modify, suspend or discontinue an integration where necessary for security, compliance or technical reasons.

Service providers acting for WIMS may process data only under WIMS instructions and applicable contractual safeguards. They may not reuse WIMS content or personal data for unrelated purposes or model training unless WIMS has expressly approved this in writing and an appropriate lawful basis and contractual framework are in place.

12. Availability and changes

The Platform is provided as an internal operational tool. WIMS may perform maintenance, release updates, change functionality or temporarily restrict access. WIMS does not guarantee uninterrupted availability or that every output, integration or third-party service will always operate without error.

13. Suspension and termination

WIMS may suspend or terminate access immediately where an Authorised User no longer requires access, leaves the relevant role, breaches these Terms, creates a security or compliance risk, or where suspension is reasonably required to protect WIMS, another person or a connected service. On termination, the user must stop using the Platform and return or delete WIMS information as instructed.

14. Responsibility and liability

Each Authorised User is responsible for actions taken through that user’s account and for the review and approval decisions assigned to that user. To the extent permitted by applicable law, WIMS is not responsible for indirect loss, loss caused by an Authorised User’s breach, or disruption or restrictions originating from a third-party service. Nothing in these Terms excludes liability that cannot lawfully be excluded.

15. Personal data

Personal data is processed as described in the WIMS Technology Integrations Privacy Policy published on wims.lv. Connected services process data under their own privacy notices. Authorised Users must not use the Integration Services to process personal data beyond the approved WIMS purpose and access rights.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Latvia. Disputes that cannot be resolved in good faith are subject to the competent courts of the Republic of Latvia, unless mandatory law provides otherwise.

17. Changes to these Terms

WIMS may update these Terms to reflect legal, operational, security or technical changes. The effective date and version will be updated on publication. Material changes affecting Authorised Users will be communicated through the Platform or another appropriate internal channel.
